Agreement to Terms

1.1
These Terms of Service (“Terms”) constitute a legally binding agreement between you and CrossVault Pty Ltd (“we”, “us”, “our”) governing your use of our compliance automation platform and related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

Description of Service

2.1

AI Awards Assistant

An intelligent search and analysis tool that helps users understand Fair Work Awards, pay rates, entitlements, and compliance requirements through natural language queries.
2.2

Timesheet Compliance Checker

Automated validation of employee timesheets against award requirements, overtime rules, and public holiday entitlements.
2.3

Document Processing & Management

Intelligent processing, categorization, and secure storage of compliance-related documents and business files.
2.4

Compliance Reporting

Generation of compliance reports, analytics, and insights to help businesses maintain regulatory compliance.
2.5

Employee Payslip Check

An AI-assisted tool that reads an uploaded payslip and compares the printed rates against minimum rates published in Fair Work Ombudsman pay guides. Results are indicative Output only (see Section 9): they are not a formal underpayment assessment, and the AI may misread a payslip or produce an incorrect comparison. You must verify any result against your actual payslip and source records before relying or acting on it.

User Accounts and Registration

3.1

Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2

Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3.3

Business Eligibility

Our Service is intended for use by businesses operating in Australia. By registering, you represent that you are authorized to act on behalf of your business and that your business complies with applicable laws and regulations.

Acceptable Use Policy

4.1
You agree not to use the Service:
  • For any unlawful purpose or to solicit others to perform unlawful acts
  • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
  • To submit false or misleading information
  • To upload or transmit viruses or any other type of malicious code
  • To attempt to gain unauthorized access to our systems or networks
  • To interfere with or disrupt the Service or servers connected to the Service

Intellectual Property Rights

5.1

Our Content

The Service and its original content, features, and functionality are and will remain the exclusive property of CrossVault and its licensors. The Service is protected by copyright, trademark, and other laws.
5.2

User Content

You retain ownership of any data, documents, or information you upload to the Service (“User Content”). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely for the purpose of providing the Service to you.
5.3

AI-Generated Content

Any content generated by our AI systems, including award interpretations and compliance recommendations (“Output”), is provided for informational purposes only and should not be considered legal advice. Your use of Output is further governed by Section 9.
5.4

No AI Training on User Data

We do not use your User Content to train, improve, or develop general-purpose artificial intelligence or machine learning models. Your data is processed solely to deliver the Service to you.
6

Privacy and Data Protection

6.1
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as outlined in our Privacy Policy.
6.2

Data Security

We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the internet is 100% secure.
6.3

Data Retention

We retain your data for as long as necessary to provide the Service and fulfill the purposes outlined in our Privacy Policy, unless a longer retention period is required by law.
7

Payment Terms

7.1

Fees

Some features of the Service require payment of fees. All fees are quoted in Australian dollars and are exclusive of GST unless otherwise stated.
7.2

Billing

You agree to pay all charges associated with your account. Billing occurs on a monthly or annual basis depending on your selected plan. Payment is due within 30 days of the invoice date.
7.3

Late Payments

Late payments may result in suspension or termination of your account. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month.
7.4

Refunds

Refunds are provided at our discretion and in accordance with our refund policy. Generally, refunds are not provided for the current billing period once service has commenced.
8

Service Availability and Support

8.1

Service Level

We strive to maintain 99.9% uptime for our Service. However, we do not guarantee uninterrupted access and reserve the right to perform maintenance that may temporarily disrupt service.
8.2

Support

Support is provided via email and in-app chat during business hours (9am–6pm AEST, Monday–Friday). Response times vary based on support tier and issue complexity.
8.3

Modifications

We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice. We will provide alternatives or refunds for paid services that are discontinued.

AI Output, Human Review and Disclaimers

9.1

Nature of AI Output

The Service uses artificial intelligence and machine learning. Due to the probabilistic nature of these technologies, Output may in some situations be incomplete, incorrect, or vary between runs on the same input. We design the Service to surface its evidence — cited rows, award clauses, and calculations — so that Output can be verified.
9.2

Human Review Required

You agree that a suitably qualified person will review Output — including the underlying source records and cited award clauses — before you rely or act on it, including before making any payroll change, back-payment, deduction, disciplinary decision, or regulatory disclosure. The Service is decision support; it does not make decisions for you.
9.3

No Legal, Tax or Payroll Advice

The Service is not a substitute for professional advice. Output is not legal advice, is not taxation or BAS agent services, and is not a determination of the Fair Work Commission or Fair Work Ombudsman. CrossVault is not a law firm and does not practice law. Always consult qualified professionals for your specific circumstances.
9.4

Accuracy of Information

While we strive for accuracy, we do not warrant that the information provided through our Service is complete, accurate, or current. Fair Work Awards, minimum rates, and regulations change over time, and there may be a delay between a change taking effect and the Service reflecting it.
9.5

Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE OR THE INFORMATION CONTAINED THEREIN.
9.6

Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other statute that cannot lawfully be excluded. To the extent permitted by law, our liability for breach of a non-excludable guarantee is limited to re-supplying the Service or paying the cost of re-supply.

Limitation of Liability

10.1
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CROSSVAULT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.
10.2
Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.
10.3
Without limiting Section 10.2, we are not liable for loss arising from your reliance on Output that has not been reviewed in accordance with Section 9.2.

Indemnification

11.1
You agree to defend, indemnify, and hold harmless CrossVault and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses arising out of or relating to your use of the Service, your violation of these Terms (including the review obligation in Section 9.2), or your violation of any rights of another.
12

Termination

12.1

Termination by User

You may terminate your account at any time by contacting our support team. Termination will be effective within 30 days of your request.
12.2

Termination by Us

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
12.3

Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will permanently delete your account and associated personal data within 30 days of termination, except where retention is required for legal or tax compliance purposes. For details on how to request account deletion, please refer to our Privacy Policy.
13

Governing Law

13.1
These Terms shall be interpreted and governed by the laws of Victoria, Australia, without regard to conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

Dispute Resolution

14.1
Before initiating formal legal proceedings, you agree to first contact us to seek an informal resolution. We will work in good faith to resolve any disputes amicably.
15

Changes to Terms

15.1
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

Force Majeure

16.1
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, pandemics, or third-party service provider outages.

Severability

17.1
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
18

Entire Agreement

18.1
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CrossVault regarding the use of the Service.
